STANDARD TERMS AND CONDITIONS OF SALE
شروط عامة
1. الأسعار تشمل التصنيع، التوصيل للموقع والتركيب.
2. شركة ووداكس للتجارة العامة غير مسؤولة عن الموافقات الإدارية والقانونية للعمل في الموقع.
3. شركة ووداكس للتجارة العامة غير مسؤولة عن أي تأخير في التصنيع أو التركيب لعدم جاهزية الموقع (أسقف، حوائط ، أرضيات ، كهرباء، تكييف/ تهوية.... الخ ).
4. عرض السعر يشمل قائمة البنود الموصوفة في هذا العرض ، وأي تغيير في هذه البنود يؤثر تباعاً في السعر الإجمالي ونسبة الخصم الممنوحة
5. عرض السعر صالح لمدة 6 أيام من تاريخه.
6. شركة ووداكس للتجارة العامة والمقاولات لها كافة الحقوق للحتفاظ بصور و فيديوهات للاثاث بعد التوصيل والتركيب لغرض استخدامها لاحقا في أي نشاط دعائي للشركة بما فيها ( منصات وسائل التواصل الإجتماعي).
7. يخضع هذا العقد للقانون الكويتي وأي خلاف ينشب بين الطرفين لا سمح الله ، يكون للقضاء الكويتي الاختصاص القضائي للفصل في النزاع.
8. بمجرد الموافقة على هذا العرض ، فإن العميل يكون قد وافق على كافة الشروط والأحكام المذكورة في عقد البيع بما فيها شروط الضمان للأثاث.
التوصيل والتركيب
1. يتم التوصيل والتركيب خلال مدة 16 أسبوع عمل، وذلك للبنود المتوفرة بالمخزون. أما المنتجات التي تطلب خصيصا للغميل، فتستغرق مدة التوريد والتركيب خمسة أشهر تقريبا.
2. تحتسب مدة التوريد والتركيب من تاريخ توقيع العقد واستلام الدفعة المقدمة كاملة والتوقيع على المخططات النهائية، أيهم يحدث أخيرا.
3. في حال عدم جاهزية الموقع ، يتم احتساب مدة 12 أسبوع عمل للتوصيل والتركيب من تاريخ أخذ القياسات النهائية بعد إعلامنا بجاهزية الموقع.
4. العميل مسؤول عن تجهيز الموقع كاملا ( أسقف - أرضيات - حوائط - نقاط كهرباء - تشغيل المكيف ... الخ ) قبل موعد التوصيل والتركيب المجدول من قبل المصنع ، وفي حال عدم الجاهزية حسب الموعد المجدول ، فإن الشركة غير مسؤولة عن أي تأخير في التوصيل والتركيب حسب المواعيد المتاحة وقتها.
5. يتم احتساب أجور تخزين كما هو موضح أدناه في حال عدم جاهزية الموقع لتوصيل الأثاث.
القوة القاهرة
1. لا تتحمل شركة وودإكس أي مسؤولية عن التأخير أو الفشل في التسليم أو الأداء الناجم عن ظروف خارجة عن إرادتها المعقولة، بما في ذلك على سبيل المثال لا الحصر، الكوارث الطبيعية، الأوبئة، الحروب، الإرهاب، الاضطرابات المدنية، النزاعات العمالية، الإجراءات الحكومية، أو نقص المواد. ستقوم وودكس بإخطار العميل فورًا وبذل الجهود المعقولة للتخفيف من تأثير القوة القاهرة واستئناف الأداء في أقرب وقت ممكن. ويوافق العميل على تمديد فترة التوريد والتركيب بما يعادل مدة حدث القوة القاهرة.
شروط الدفع
1. 60% من القيمة الإجمالية للعقد كدفعة مقدمة عند التعاقد.
2. 40% من القيمة الإجمالية للعقد قبل أسبوع من الموعد المجدول للتوصيل.
إلغاء التعاقد :
1. يوافق العميل على أن التوقيع على العقد نهائي ولا يجوز الرجوع عنه وأنه يوافق على استقطاع 25% من القيمة الإجمالية للعقد في حالة طلب إلغاء التعاقد كليا أو جزئيا خلال مدة 7 أيام من تاريخ التعاقد.
2. كما يوافق على استقطاع 60% من القيمة الإجمالية للعقد في حالة إلغاء التعاقد كليا أو جزئيا خلال مدة 14 يوم من تاريخ التعاقد.
التخزين
1. يتم اعداد جداول التصنيع من قبل المصنع بناءً على الموعد التعاقدي للتوصيل المعطى من قبل العمبل ، لذا فإنه يتعذر السماح بتخزين الأثاث المصنع ، ومع ذلك يمكن لشركة ووداكس تخزين الأثاث المصنع لمدة لا تتجاوز الأسبوعين بعد التاريخ التعاقدي للتوصيل.
2. يوافق العميل على دفع 10% من القيمة الإجمالية للعقد كأجور تخزين في حال عدم جاهزية الموقع لإستقبال الأثاث المصنع بعد أسبوعين من تاريخ التوصيل التعاقدي عن كل شهر تالي أو جزء منه.
3. جاهزية الموقع : أرضيات -أسقف - الحوائط والتقسيمات داخل المكان المصمم جاهزة ومنتهية التركيب ونظام التكييف يعمل بكفاءة.
الضمان
المدة
1. تسري مدة الضمان على الأثاث محل التعاقد لمدة خمس سنوات من تاريخ توصيلها لأول مشتري والتي يجب تأكيده بتقديم فاتورة / وصل شراء، باستثناء الإضاءة والتي تكون مشمولة بالضمان لمدة عام واحد.
2. للتمتع بمزايا الضمان ، على العميل الاحتفاظ واظار وثيقة الشراء التي سلمت له عند التعاقد والتي تحتوي على معلومات الشراء.
3. عند شراء أثاث معروض في أحد معارض ووداكس ، فإن صلاحية الضمان تكون سنتان سارية من تاريخ توصيل الأثاث (لبائع تجزئة/العميل) من حلال شركة ووداكس.
الإستخدام
بالنظر إلى الخصائص الاستهلاكية للمنتجات ، فإن الضمان يغطي فقط الإستخدام الشخصي ولذلك يستثنى من الضمان المنتجات المستخدمة لغرض (احترافي/صناعي/تجاري).
الاستثناءات
1. الأضرار الناتجة عن العوامل البيئية الغير ملائمة مثل ( الرطوبة - الحرارة - التهوية ) ، سوء الاستخدام أو التغيير من قبل العميل في المنتجات، إجراءات صيانة وتنظيف غير ملائم ، استخدام المنتج بشكل آخر غير المعد له من قبل المصنِّع ، تغير في ألوان الأسطح الخشبية أو المصبوغة بمرور الوقت ، إصلاحات من قبل شخص غير معتمد من قبل شركتنا ، الأضرار الناتجة عن أنظمة الكهرباء والتشغيل الغير ملائمة.
2. الزجاج والمرايا تعتبر من الأجزاء شديدة الحساسية والتي تتطلب عناية فائقة، لذا فهي مستثناه من هذا الضمان.
الحدود الإقليمية
هذا الضمان صالح فقط في نطاق الموقع الأول للتركيب، في حال تم تفكيك أو تحريك أو نقل المنتج فإنه يصبح خارج نطاق الضمان.
مطالبات الضمان :
مطالبات الضمان يجب أن تقدم كتابيا ووجهة إلى شركة ووداكس فقط . على العميل إخطار شركة ووداكس بأي عيب أو ضرر في المنتج خلال مدة خمس أيام من اكتشافها . لابد أن تكون المطالبة مدعومة بصورة من فاتورة الشراء مع صور فوتوغرافية للعيوب أو الأضرار إن أمكن ذلك.
القانون الحاكم و المنازعات القضائية :
هذا الضمان وأي خلافات ذات طبيعة تعاقدية أو غير تعاقدية متعلقة بالمنتجات و/أو ضرر ناتج من المنتجات يقع تحت طائلة القانون الكويتي.
General conditions:
1. Prices include manufacturing, delivery to site and installation.
2. We take no responsibility for any legal/administrative approvals for working in the given site.
3. We take no responsibility for any delay in production and/or installation due to site not being ready for installation (i.e. ceiling, walls, floor, power, HVAC ..etc.).
4. Quotation Price is based on the items listed in this quotation as described, any change in it will affect the prices and the granted discount accordingly.
5. Pricing valid for 06 days from date of quotations.
6. Woodex has all the right to take pictures & videos of the products after delivery/ installation, to be used in any of Woodex marketing activities including social media platforms.
7. This contract is governed by Kuwaiti Law & under jurisdiction of Kuwait courts.
8. By approving the financial offer, the client accepts all terms and conditions of this Sales agreement and the Products Warranty terms and conditions.
Delivery & Installation:
1. The products will be ready for delivery within 16 working weeks for the available materials, but the delivery time for the on-demand materials is around 5 months based on availability with vendors.
2. The delivery and installation period is calculated from contract approval, advance payment in full and approval of the final Job Order, whichever falls later.
3. In the event that the site is not ready, a period of 12 working weeks for delivery and installation is calculated from the date of taking the final measurements, after informing us that the site is ready and verifying that.
4. The customer is responsible for preparing the entire site (ceilings - floors - walls - electricity points - operating the air conditioner ... etc.) before the date of delivery and installation scheduled by the factory. Delivery and installation according to the dates available at the time.
5. In case the site is not ready on the scheduled delivery date, storage charges apply as detailed below.
Force Majeure
1. Woodex shall not be liable for delays or failures in delivery or performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil disturbances, labor disputes, government actions, or material shortages. Woodex will notify the customer promptly and make reasonable efforts to mitigate the impact and resume performance as soon as possible. The client agrees that the delivery/ installation period will be extended by the duration of the force majeure event.
Payment terms:
1. 60% advance upon the financial offer approval
2. 40% One week before scheduled delivery date
Contract Cancelation:
1. The client agrees that his signature on this contract is irrevocable and he/ she agrees that in case of Contract cancellation (Fully or Partially) within 7 days from the contract approval date, a deduction of 25% of the Cancelled Parts' value will be applied
2. In case of Contract cancellation (Fully or Partially) within 14 days from the contract approval date, a deduction of 60% of the Cancelled Parts' value will be applied
Storage:
1. The factory will arrange its production schedule based on the contractual date of delivery, therefore, there is no tolerance for storage of finished products. However, Woodex may store the finished goods for not more than 2 weeks.
2. The client agrees to pay 10% of the order value as storage fees if the site is not ready to receive the finished goods after 2 weeks from the contractual delivery date for every subsequent month, or a part thereof.
3. By site readiness, we mean: Flooring, celling and related partitions are completed and HVAC system is operational.
Warranty:
Duration:
1. The duration of the warranty is 5 (Five) years from the date of Delivery of products to the first purchaser, which must be confirmed with presentation of invoice or receipt, except LED which is covered for 1 year only.
2. In order to benefit from this warranty, the customer must retain and present the Customer Purchase Document which is delivered with the products and contains the product purchase identification information.
3. When products displayed in our showroom, are purchased by a customer, the validity of the 2-year guarantee comes into force on the day on which the products were delivered to the Retailer by Woodex.
Use of products:
1. Given the structural characteristics of the products, the warranty only applies to products used for domestic use and therefore excludes products used for professional and/or industrial purposes.
Exclusions:
1. Damages caused by inadequate environmental factors (such as humidity, temperature, and ventilation), misuse or alteration of the delivered products by the customer, improper maintenance and cleaning procedures, using the products in any way that was not intended by the manufacturer, color fading over time for wood or lacquered surfaces, and repairs made by unauthorized personnel, and damages caused by inadequate electrical and power supply systems.
2. Glass parts are extremely sensitive and require utmost care, therefor, excluded from this warranty.
Territorial limits:
This warranty is valid only in the first location of installation. Once the products are dismantled, shifted or relocated, the warranty cease.
Warranty claims:
Warranty claims must only be submitted in writing and addressed to WOODEX. The customer must notify Woodex of the product defect or damage within five calendar days of discovery. The claim must be supported with a photocopy of the purchase invoice and photographs where possible.
Governing law and dispute resolution:
This warranty and any disputes of both contractual and non-contractual nature connected to the products and/or damage deriving from the products shall be governed by the Kuwaiti law.
